# Fanout Contributor License Agreement
# LabStack Contributor License Agreement

Thank you for contributing to Fanout. This agreement clarifies the intellectual
property license granted with contributions from any person or entity, and
protects both you and LabStack LLC ("LabStack").
Thank you for your interest in contributing to a project of LabStack LLC
("LabStack", "we", "us"), such as Driga, Fanout, or Onebox.

By signing, you accept and agree to the following terms for your present and
future contributions to Fanout. Except for the licenses granted here, you retain
all right, title, and interest in and to your contributions.
This Contributor License Agreement ("Agreement") documents the rights granted
by contributors to LabStack. It applies to any Contribution you submit to any
project owned or managed by LabStack. Signing it is a one-time step; it covers
all of your future Contributions to LabStack projects unless you notify us
otherwise.

**You keep the copyright in your Contribution.** This Agreement is a license,
not an assignment. You may continue to use your Contribution however you wish,
including in other projects under other licenses.

## 1. Definitions

**"You"** means the copyright owner, or the legal entity authorized by the
copyright owner, entering into this agreement with LabStack.
**"You"** means the individual who submits a Contribution to LabStack, or the
legal entity on whose behalf a Contribution is submitted. For a legal entity,
the entity making a Contribution and all other entities that control, are
controlled by, or are under common control with that entity are considered a
single Contributor.

**"Contribution"** means any original work of authorship, including any
modification to or addition to an existing work, that is intentionally submitted
by You to LabStack for inclusion in Fanout. "Submitted" means any form of
modification to or addition to an existing work, that is intentionally
submitted by You to LabStack for inclusion in, or documentation of, any of the
products owned or managed by LabStack. "Submitted" means any form of
electronic, verbal, or written communication sent to LabStack or its
representatives, including but not limited to pull requests, issues, and
electronic mailing lists.

## 2. Grant of copyright license
representatives, including but not limited to communication on electronic
mailing lists, source code control systems, and issue tracking systems that are
managed by, or on behalf of, LabStack for the purpose of discussing and
improving the work — excluding communication that is conspicuously marked or
otherwise designated in writing by You as "Not a Contribution".

## 2. Copyright license

Subject to the terms of this Agreement, You grant to LabStack and to recipients
of software distributed by LabStack a perpetual, worldwide, non-exclusive,
no-charge, royalty-free, irrevocable copyright license to reproduce, prepare
derivative works of, publicly display, publicly perform, sublicense, and
distribute Your Contribution and such derivative works.

## 3. Patent license

Subject to the terms of this Agreement, You grant to LabStack and to recipients
of software distributed by LabStack a perpetual, worldwide, non-exclusive,
no-charge, royalty-free, irrevocable (except as stated in this section) patent
license to make, have made, use, offer to sell, sell, import, and otherwise
transfer Your Contribution, where such license applies only to those patent
claims licensable by You that are necessarily infringed by Your Contribution
alone or by combination of Your Contribution with the work to which You
submitted it.

You grant to LabStack and to recipients of software distributed by LabStack a
perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable
copyright license to reproduce, prepare derivative works of, publicly display,
publicly perform, sublicense, and distribute Your contributions and such
derivative works.
If any entity institutes patent litigation against You or any other entity
alleging that Your Contribution, or the work to which You contributed it,
constitutes direct or contributory patent infringement, then any patent
licenses granted to that entity under this Agreement for that Contribution or
work terminate as of the date such litigation is filed.

You further grant LabStack the right to license Your contributions, including
under licenses other than the license Fanout currently uses, and to relicense
Fanout in whole or in part.
## 4. Right to relicense

## 3. Grant of patent license
You grant LabStack the right to license Your Contribution under any license
terms, including licenses other than the Apache License, Version 2.0, and to
distribute Your Contribution as part of proprietary or commercially licensed
offerings.

You grant to LabStack and to recipients of software distributed by LabStack a
perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable
(except as stated in this section) patent license to make, have made, use, offer
to sell, sell, import, and otherwise transfer Fanout. This license applies only
to those patent claims licensable by You that are necessarily infringed by Your
contribution alone or by combination of Your contribution with Fanout.
This clause exists so that a LabStack project can offer a commercially
licensed edition without needing to locate and re-negotiate with every past
contributor. It does not restrict Your own use of Your Contribution, and it
does not withdraw any release already made under an open source license: every
version of a LabStack project published under the Apache License, Version 2.0,
remains available under that license permanently.

If any entity institutes patent litigation against You or any other entity
alleging that Your contribution, or Fanout to which You contributed, constitutes
direct or contributory patent infringement, then any patent licenses granted to
that entity under this agreement for that contribution or for Fanout terminate
as of the date such litigation is filed.
## 5. Your representations

## 4. Your representations
You represent that:

You represent that You are legally entitled to grant the above licenses.
1. You are legally entitled to grant the above licenses.
2. Each of Your Contributions is Your original creation, or You have
identified within it the complete details of any third-party license or
other restriction of which You are personally aware and which is associated
with any part of Your Contribution.
3. If Your employer has rights to intellectual property that You create, You
have received permission to make Your Contributions on behalf of that
employer, that Your employer has waived such rights for Your Contributions
to LabStack, or that Your employer has executed a separate Contributor
License Agreement with LabStack.

If Your employer has rights to intellectual property that You create, You
represent that You have received permission to make the contributions on behalf
of that employer, that Your employer has waived such rights for Your
contributions to Fanout, or that Your employer has executed a separate corporate
agreement with LabStack.
## 6. No warranty and no obligation

You represent that each of Your contributions is Your original creation. You
represent that Your contribution submissions include complete details of any
third-party license or other restriction of which You are personally aware and
which is associated with any part of Your contributions.
Your Contribution is provided "AS IS", without warranty of any kind, express or
implied, to the maximum extent permitted by applicable law. You are not
expected to provide support for Your Contribution.

## 5. No obligation and no warranty
LabStack is under no obligation to accept, merge, or continue to distribute any
Contribution.

You are not expected to provide support for Your contributions, except to the
extent You desire to provide support. Unless required by applicable law or
agreed to in writing, You provide Your contributions on an "AS IS" BASIS,
WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied.
## 7. Notification

You agree to notify LabStack of any facts or circumstances of which You become
aware that would make these representations inaccurate in any respect.

## How to sign

Open a pull request. A bot will comment asking you to sign, and you sign by
replying with the exact sentence it gives you. You only need to do this once;
subsequent pull requests are recognized automatically.
Open a pull request. An automated check will ask you to accept this Agreement
by commenting on the pull request with:

> I have read the CLA Document and I hereby sign the CLA

The check records your acceptance against your account, and future pull
requests to that repository will not ask again. The Agreement covers every
LabStack project, but each repository's check may ask once.

If you are contributing on behalf of a legal entity that requires a
countersigned document, email <opensource@labstack.com> before opening the pull
request.
